Help for Boards of Non-Profits

The collapse of Enron, Global-Crossing and WorldCom changed the landscape for for-profit organizations. Surfacing scandals at the Nature Conservancy and 9/ll relief organizations are changing the landscape for non-profit organizations as well. In 2002, Congress enacted the Sarbanes-Oxley Act, which requires that publicly traded companies adhere to new governance standards that broaden board members' roles in overseeing financial transactions and auditing procedures. Currently, the Senate is considering similar legislation for governance of non-profit organizations.

This new landscape is often hard for boards and CEOs to negotiate. What are individual board members' responsibilities to the non-profit organization in this new world? What is the board's collective responsibility? What is management's? How does the borderline of responsibility get set? What happens when the board and management disagree about responsibilities? We provide services both to boards and management in traveling this new and sometimes rocky terrain.
